M&A diligence, capital raises and growth strategy

Partners who have raised capital, bought companies and sold them. We help owners set direction, get the business ready for investors or buyers, and stay through close and integration.

What we do

Growth strategy

A plan the leadership team can execute: where to compete, what to stop doing, and the operating and financial moves that follow from it.

Capital raise readiness

Financial model, reporting, governance and narrative prepared to the standard investors expect, before the first meeting.

Buy-side diligence

Operator-led review of financials, operations, technology and people, with a clear view of what you are buying and what it will take to run.

Sell-side preparation

Getting the business ready for a buyer: clean reporting, documented operations, and leadership that does not depend on the owner.

Negotiation support

Partners at the table on the deal points that carry operating consequences, working alongside your bankers, attorneys and accountants.

AI and technology diligence

For deal teams: Adversarial Diligence tests whether a target's moat survives an AI-fluent challenger and whether the AI upside in the model holds up in practice, in seven or fourteen days.

Post-acquisition integration

The first year after close, when most deal value is won or lost: systems, teams, reporting and the operating plan.

When clients call us

  • You are considering an acquisition and want an operator's read before you commit.
  • AI or automation is carrying part of the multiple in a deal you are evaluating.
  • You plan to raise capital in the next year and the business is not ready to be examined.
  • An owner is planning an exit in two to three years and the company still runs through them.
  • A deal has closed and integration has stalled.
  • There is a strategic plan, but no one owns its execution.

How the engagement runs

The same operating model applies to every practice, so you always know where the work stands and when it will be yours.

Learn the business from inside

A partner joins your leadership rhythm, reads the numbers, talks to the people doing the work, and agrees with you what success looks like in terms you can measure.

Run the plan

We carry the work ourselves. That can mean holding an executive seat, rebuilding a platform, closing a transaction, or all three, with the right partner on each.

Hand it to your team

We hire or develop the person who keeps the seat, document how the work runs, and step back. Many clients keep a partner on as an advisor afterward.

Questions clients ask

Do you act as an investment banker or broker?

No. We do not provide securities brokerage, legal or tax advice. We work alongside your bankers, attorneys and accountants and bring the operating view to diligence, negotiation and integration.

Do you work for investors or for companies?

Both. Investors engage us for diligence and portfolio support, and companies engage us to prepare for a raise, an acquisition or an exit.

Can a partner stay after the deal closes?

Yes. Many transaction engagements continue as integration support or as a fractional executive seat in the acquired business.

How early should we involve you before a raise or sale?

The earlier the better. Reporting, governance and leadership depth take months to build, and buyers and investors notice when they were assembled in a hurry.

Bring us the problem you need someone to own.

Executed, not advised.

The first conversation is with a partner. We will talk through what you are facing, what you have already tried, and whether we are the right fit.

Conversations are confidential.
